ACCEPTANCE OF CONFERENCE TERMS AND CONDITIONS

BY REGISTERING FOR THE EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS AND CONDITIONS (THE “TERMS”), THAT THESE TERMS CONSTITUTE AN ENFORCEABLE AGREEMENT BETWEEN YOU AND THE UNIVERSITY OF WATERLOO AND THAT YOU AGREE TO BE BOUND BY AND COMPLY WITH THEM. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, DO NOT REGISTER FOR THE EVENT.

*IF YOU ARE AGREEING TO THESE TERMS AND CONDITIONS ON BEHALF OF YOUR EMPLOYER (INCLUDING ITS EMPLOYEES), YOU ACKNOWLEDGE AND AGREE THAT: (i) YOU WILL ENSURE YOUR EMPLOYER’S EMPLOYEES THAT ATTEND THE EVENT HAVE REVIEWED AND AGREED TO THE TERMS AND THAT SUCH EMPLOYEES HAVE BEEN GIVEN SUFFICIENT OPPORTUNITY TO ASK ANY QUESTIONS REGARDING THE TERMS BEFORE AGREEING TO THEM; (ii) YOU POSSESS THE NECESSARY AUTHORITY TO COMPLETE THE REGISTRATION PROCESS ON BEHALF OF ALL YOUR EMPLOYER’S EMPLOYEES THAT WILL ATTEND THE EVENT; (iii) YOUR EMPLOYER WILL, TO THE FULLEST EXTENT PERMITTED BY THE LAW, BE VICARIOUSLY LIABLE FOR ANY BREACH OF THE TERMS COMMITTED BY YOUR EMPLOYER’S EMPLOYEES; AND (iv) YOU HAVE AUTHORITY TO BIND YOUR EMPLOYER AND CREATE AN ENCORCEABLE AGREEMENT BY AGREEING TO THE TERMS.

EVENT FORMAT

The Tech Horizons Executive Forum (the “Event”) is an in-person event scheduled to take place November 10, 2025 at CIBC Square located at 81 Bay St., Toronto, ON M5J 0E7. The Event will be provided in English.

CHANGES TO THE EVENT

The University of Waterloo reserves the right to change speakers or modify the Event, at any time, and from time to time.

REGISTRATION

All information that you provide in the course of registration for the Event must be complete and accurate. All registrations are subject to acceptance by the University of Waterloo.

CANCELLATION POLICY

You can cancel your attendance to the Event and receive a refund of your payment, less a 10% administrative fee that the University of Waterloo shall be permitted to retain, by notifying the University of Waterloo via email (watspeedevents@uwaterloo.ca) no later than 11:59pm EST on October 23, 2025. Any cancellation request you communicate to the University of Waterloo after the aforesaid deadline shall not be entitled to a refund.

PRIVACY CONSENT/NOTICE

You consent to and confirm your understanding that the University of Waterloo may collect and use your email address, name and any other personal information that you disclose to the University of Waterloo or which the University of Waterloo collects in the course of the Event, for the purposes of facilitating your registration for, and your participation in, and other fundamental activities related to the Event, including requests for your feedback on the Event. The University of Waterloo may also collect and use such personal information for the purpose of providing you with information on similar events. The University of Waterloo may disclose some or all of such information to the University of Waterloo’s third-party service providers and/or partners solely for the foregoing purposes. Any information collected by the University of Waterloo is collected and maintained under the authority of the University of Waterloo Act, 1972 and in compliance with the Freedom of Information and Protection of Privacy Act (R.S.O. 1990. C.31) or other applicable legislation. Questions regarding the collection, use, disclosure, access, and correction of your personal information in any specific instance should be sent to watspeed@uwaterloo.ca. Questions of a general nature regarding the processing of personal information by the University of Waterloo should be directed to the Privacy Office, University of Waterloo, 200 University Avenue West, Waterloo, Ontario, Canada N2L 3G1. All information collected, used and disclosed pursuant to these Terms will be collected, used and disclosed by the University of Waterloo in accordance with its privacy policies, available here: https://uwaterloo.ca/privacy/.

ATTENDEE ROSTER

You acknowledge and irrevocably consent to the University of Waterloo being permitted to distribute your name, employer, job title, phone number, home address and email address to Event sponsors before, during and after the Event, which will only be used by such sponsors for communicating to you information about their respective products and only in the event you expressly opt in, during the registration process for the Event, to receive such communications.

PHOTOGRAPHY AND VIDEO

You acknowledge that the University of Waterloo, as well as fellow attendees, may take photographs and video during the Event and that you may be captured, on purpose or incidentally, on such media. You irrevocably grant to the University of Waterloo, including its employees, subcontractors and agents, the permission and right to: (i) film, record and photograph you during your attendance at the Event; (ii) publish, advertise, market or make available to the public any film, recording and photograph of you at the Event; and (iii) identify you by name when the University of Waterloo undertakes any of the activities set forth in the preceding section (ii). You hereby waive any right, claim, action or suit you may have arising directly or indirectly from the University of Waterloo’s exercise of their rights you have granted to them under this “Photography and Video” section.

CODE OF CONDUCT

While attending the Event, you shall refrain from the following behaviours and acknowledge that a failure to do so is a material breach of these Terms:

  • Intimidating, harassing, abusive, discriminatory, derogatory, or demeaning speech, materials, or conduct;
  • Violence, threats of violence, or violent language directed against another person in attendance;
  • Sexist, racist, homophobic, transphobic, or otherwise discriminatory jokes and language;
  • Personal insults, particularly those related to gender, sexual orientation, race, religion, or disability;
  • Inappropriate photography or recording;
  • Taking of photos within the event environment for use on social media, without the prior permission of the individuals or owners of the content therein;
  • Any boisterous, lewd, or offensive behavior or language, including but not limited to using sexually explicit or offensive language, materials or conduct, or any language, behavior, or content that contains profanity, obscene gestures, or racial, religious, or ethnic slurs;
  • Failure to obey any rules of the venue owner and/or operator; and
  • Engage in any unethical, dishonest, or illegal behavior.

You will be expected to immediately comply with any request to stop any such behaviour. If you continue to engage in such behaviour, the University of Waterloo and/or the venue owner/operator shall be permitted to expel you from the Event.

INTELLECTUAL PROPERTY

You agree that in the event any materials, slides, documents, graphs, visuals, illustrations or other media (the “Content”) are used by speakers or are presented at the Event, ownership of the Content shall remain with its respective owner, including all intellectual property rights therein. You have no right or license to access or use the Content. You further acknowledge and agree that any trademarks, trade names, service marks or logos contained in the Content, including all intellectual property rights therein, are owned by their respective owners and that you have no right or license to use same.

TERMINATION

Subject to applicable law, you agree that the University of Waterloo may, in its sole discretion, terminate your registration or participation in the Event immediately upon notice to you in the event you breach any of these Terms, subject to any right you may have to obtain a refund in accordance with these Terms.

DISCLAIMER, RELEASE AND LIMITATION OF LIABILITY

THE VIEWS EXPRESSED DURING PRESENTATIONS AND SPEAKING ENGAGEMENTS CONDUCTED AT THE EVENT ARE THOSE OF THE SPEAKER AND DO NOT NECESSARILY REFLECT THE VIEWS OF THE UNIVERSITY OF WATERLOO. PRESENTATIONS OR SPEAKING ENGAGEMENTS AT THE EVENT DO NOT CONSTITUTE AN ENDORSEMENT OF THE PRESENTER/SPEAKER BY THE UNIVERSITY OF WATERLOO.

TO THE GREATEST EXTENT PERMITTED BY LAW, AND EXCEPT WHERE PROHIBITED BY LAW FOR PERSONS RESIDING IN THE PROVINCE OF QUEBEC, THE EVENT AND THE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OR CONDITION OF ANY KIND (EXPRESS, IMPLIED, OR OTHERWISE), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OR IMPLIED CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE GREATEST EXTENT PERMITTED BY LAW, YOU HEREBY AGREE TO RELEASE THE UNIVERSITY OF WATERLOO AND ITS GOVERNORS, TRUSTEES, FACULTY, INSTRUCTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES (TOGETHER, “REPRESENTATIVES”) FROM, AND IN NO EVENT SHALL ANY OF THEM BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY, FOR ANY AND ALL INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, WHATSOEVER ARISING FROM YOUR REGISTRATION FOR AND PARTICIPATION IN THE EVENT.

INDEMNIFICATION

You will indemnify, defend (at the University of Waterloo’s election) and hold harmless the University of Waterloo and its Representatives from and against any claims, losses, judgments, damages, costs and expenses (including, without limitation, reasonable legal fees and expenses) incurred by any of them due to or resulting from: (i) your breach of these Terms; or (ii) your willful or negligent acts and/or omissions.

FORCE MAJEURE

The University of Waterloo and its Representatives shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond their reasonable control.

GENERAL

These Terms constitute the entire agreement and understanding between you and the University of Waterloo and supersede all prior or contemporaneous agreements, representations, warranties and understandings with respect to the subject matter of these Terms.  These Terms may not be assigned by you in whole or in part. The University of Waterloo may, without prior notice and without your consent, assign any or all of our rights and obligations under these Terms to others at any time. These Terms shall be binding on the parties’ successors and permitted assigns.  If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship or other affiliation created between you and us as a result of these Terms or participation in the Event. You agree to execute and deliver all such further documents and instruments and do all acts and things as we may reasonably require to carry out the full intent and meaning of these Terms.

If you are not a resident of Quebec, these Terms shall be interpreted, construed and governed by the laws in force in the Province of Ontario, Canada, without reference to its conflict of laws principles. You hereby irrevocably agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario and to waive any objections based upon venue.

Any terms that by their nature are intended to survive shall survive termination of these Terms.
